A Resolution of the Board of Governors of Blevins Holdings LLC Approving and Adopting Enterprise Policy Governance and Codification

WHEREAS, Blevins Holdings LLC requires a formal written policy governing enterprise policy governance and codification;

WHEREAS, the Board of Governors has reviewed BP 1000 - Enterprise Policy Governance and Codification and finds that the policy supports effective governance, compliance, oversight, and internal accountability;

WHEREAS, the Board of Governors desires to establish a clear implementation duty for officers, subsidiaries, departments, committees, and controlled affiliates subject to the policy;

NOW, THEREFORE, BE IT RESOLVED, that the Board of Governors hereby approves and adopts BP 1000 - Enterprise Policy Governance and Codification, effective as of the date entered in the official minutes;

BE IT FURTHER RESOLVED, that the Office of the Corporate Secretary, with review by General Counsel is directed to implement the policy, maintain implementation records, and report material exceptions to the Board of Governors or the appropriate committee;

BE IT FURTHER RESOLVED, that the Secretary of the Board of Governors is authorized and directed to enter this resolution into the official policy register and corporate minute book; and

BE IT FINALLY RESOLVED, that all officers and employees are instructed to comply with the policy as a binding internal governance instrument of Blevins Holdings LLC.
